Senior Legal Compliance Specialist

Role Description

This full-time, on-site position reports directly to the CEO and plays a pivotal role in ensuring HDCapital’s operations remain fully aligned with legal and regulatory standards. As a key advisor to the Board of Management, you will provide strategic legal and compliance expertise, strengthen governance frameworks, and support our mission to deliver exceptional value to investors and partners. Key Responsibilities

• Strategic Legal Advisory: Provide expert legal counsel to the Board of Management, enabling informed decision-making and ensuring corporate actions comply with legal and regulatory standards.
• Investment Compliance Oversight: Offer comprehensive legal guidance on investment projects, conducting meticulous due diligence, risk assessments, and ensuring adherence to Vietnam’s financial, securities, and fund management regulations.
• Contract Management: Draft, review, and negotiate contracts to protect HDCapital’s interests, proactively mitigating legal risks and ensuring compliance with applicable laws and regulations.
• Dispute Resolution: Advise on litigation strategies, collaborate with external legal counsel, and represent the company’s interests in legal proceedings as needed.
• Regulatory Monitoring: Stay ahead of changes in Vietnam’s legal and regulatory landscape, particularly in securities, investment, and fund management, providing actionable recommendations to maintain compliance.
• Internal Policy Development: Lead the development, review, and updating of internal policies, procedures, and governance frameworks to strengthen corporate governance and ensure compliance with legal standards.
• Internal Compliance Management: Oversee and enforce internal compliance processes, including coordinating with other departments to ensure timely submission of required reports and documentation in accordance with regulatory and internal deadlines.
• Ad-Hoc Responsibilities: Undertake additional legal and compliance tasks as directed by the Board of Management to support the company’s objectives

Qualifications

• Law degree from a reputable institution. Additional qualifications in business or financial law are highly desirable; a fund management certificate from the State Securities Commission (SSC) is a plus.
• Minimum of 2 years of experience in compliance management and regulatory compliance, preferably within fund management firms, securities companies, or related departments (e.g., compliance, investor relations, custody, or underwriting services) at leading financial institutions.
• Strong understanding of Vietnamese law, with a focus on financial services, securities, investment activities, and corporate governance. Familiarity with Vietnam’s regulatory frameworks (e.g., VDS, securities, and fund management regulations) and industry best practices.
• Strong Analytical Skills.
• Excellent written and verbal communication skills.
• Attention to detail and high level of accuracy.
• Ability to work independently and collaboratively in a team.
